Understanding Corporate Tax Readiness in Dubai, UAE
What is Corporate Tax Readiness?
Corporate tax readiness refers to the process of assessing, planning, and implementing strategies to ensure that your business is prepared for corporate tax obligations. With the introduction of corporate tax in the UAE, businesses must align their operations and financial reporting to meet regulatory requirements. This process involves a detailed review and analysis of the business transactions, assets and liabilities of the taxable person to identify risks and tax optimisation opportunities.
What is a Corporate Tax Readiness Review?
A corporate tax readiness review typically includes the following:
- Review of the opening balances that form the starting point for the financial statements to be prepared for the taxable period.
- Consider the applicability of transition provisions and assess the option most beneficial for the taxable person from within the options available under the transition rules laid out in the corporate tax law.
- Determine the advantages and disadvantages of forming a tax group, if applicable, and advise on group structure changes, if required, to avail of the tax grouping benefits.
- Identify related parties and connected persons and consider whether related party transactions and transactions with connected persons meet the arm’s length standard required to be followed as mandated by corporate tax law provisions.
- Identify available tax reliefs and consider the applicable conditions for availing of such reliefs.
- Review each caption of the taxable person’s income statement and balance sheet to consider any add-backs or deductions that would be required in arriving at the taxable profit or loss.
- Assess the existence and proper implementation of adequate controls to ensure accurate record-keeping practices and the validity of accounting records forming the basis of taxable profit calculation.
Why is Corporate Tax Readiness Important?
Corporate tax compliance is now a critical part of doing business in the UAE. Failure to comply with corporate tax regulations can lead to significant penalties, disruptions in operations, and reputational damage.
Ensuring corporate tax readiness is essential for:
- Reducing the risk of fines and penalties: Early preparation helps avoid costly penalties for non-compliance.
- Maximising tax benefits: Identifying eligible deductions, exemptions, and reliefs ensures that your business is taking full advantage of the benefits offered under UAE tax laws.
- Ensuring smooth operations: Proper tax planning ensures that the introduction of corporate tax does not disrupt your business activities.
Without a clear corporate tax strategy, businesses may face unexpected financial liabilities and operational setbacks.
What Our Corporate Tax Readiness Review Covers
Our Corporate Tax readiness review is tailored to the size, activities and risk profile of the business. The following areas may be included depending on the agreed scope and available records.
Accounting Records and Opening Balances
We assess trial balances, general ledger classifications, reconciliations and the opening balances relevant to the first or current Corporate Tax period. The review identifies unsupported balances, incomplete schedules and accounting matters that may affect tax calculations.
Potential Corporate Tax Adjustments
We review material income and expense categories to identify items that may require adjustments when determining taxable income. These may include non-deductible expenditure, exempt income, unrealised gains or losses and other adjustments under the applicable legislation.
Expense Deductibility and Financing Costs
We examine selected expense categories, financing arrangements and supporting evidence to identify potential deductibility restrictions. Particular attention may be given to business-purpose documentation, capital versus revenue expenditure and interest limitation rules where relevant.
Reliefs, Elections and Transitional Matters
We assess whether relevant reliefs, exemptions or elections may apply and whether the supporting conditions and records are available. This can include Small Business Relief (where eligibility requirements are met), tax loss utilisation, realisation-basis elections and transitional provisions relevant to the business. Small Business Relief has been extended to eligible Tax Periods ending on or before 31 December 2029 under Ministerial Decision No. 131 of 2026.
Corporate Structure and Free Zone Conditions
Where applicable, we review the business structure, group relationships and Free Zone activities to flag matters that may affect Corporate Tax status or eligibility for available reliefs and the Qualifying Free Zone Person regime. Specialist legal conclusions or restructuring advice can be addressed through a separate advisory engagement.
Record Retention and Internal Controls
We evaluate whether records, reconciliations and supporting schedules can substantiate material Corporate Tax positions. Recommendations may cover document retention, transaction coding, review responsibilities and controls over the information passed to the tax return preparation team.

Frequently Asked Questions
Any UAE business that:
- Is registered or required to register for Corporate Tax
- Has complex transactions, group structures, or related-party dealings
- Is unsure about exemptions, thresholds, or taxable income
- Wants to reduce the chances of penalties, or incorrect filings
A UAE Corporate Tax readiness review generally starts with the accounting income or loss reflected in financial statements prepared under the applicable accounting standards. It then identifies categories that may require adjustments under UAE Corporate Tax rules to determine taxable income. Typical review areas include exempt income, restricted deductions, unrealised gains or losses and relevant reliefs. The objective is to identify gaps in the underlying records and proposed tax treatment, not to prepare or submit the Corporate Tax return.
Opening balances can affect the tax treatment of assets, liabilities and subsequent transactions, particularly in the first Corporate Tax period. A readiness review checks whether material balances can be reconciled to prior financial records and whether supporting schedules exist for fixed assets, provisions, receivables, borrowings and other significant items. Where transitional provisions could apply, the review identifies documentation and technical analysis that may be required before a tax position or available election is adopted.
Yes. A readiness review can identify expense categories that may be restricted or disallowed for UAE Corporate Tax purposes. Examples include expenditure not incurred wholly and exclusively for business purposes, the non-deductible portion of certain entertainment expenditure, and interest expense subject to applicable restrictions. The review considers the nature of the expenditure and available records; an accounting expense is not automatically deductible for Corporate Tax.
Yes. A readiness review can screen for potentially relevant exemptions, reliefs and elections, including Small Business Relief and the use of available tax losses. Eligibility depends on the statutory conditions and the specific facts of the business. The review should also identify supporting evidence, ongoing conditions and possible consequences of an election. A full technical opinion can be commissioned separately where the facts are complex.
