Do You Need to File a Final Corporate Tax Return When Closing a UAE Company?

Closing a UAE company requires more than cancelling the trade licence. See when the final Corporate Tax return must be filed and how deregistration fits into the closure process.
final Corporate Tax return

Yes. A UAE company that is subject to Corporate Tax must complete its final Corporate Tax obligations before the Federal Tax Authority (FTA) can complete Corporate Tax deregistration. This includes filing the Corporate Tax return for the tax period (the period for which Corporate Tax is calculated and reported) up to and including the cessation date and settling any Corporate Tax and administrative penalties due. However, the company should not delay its deregistration application while waiting for the ordinary return deadline.

Key Takeaways

  • A company required to file Corporate Tax returns must file a final return covering the Tax Period up to and including the cessation date.
  • The FTA will not complete Corporate Tax deregistration until all required returns have been filed and all Corporate Tax and administrative penalties due have been paid.
  • A juridical person (a legal entity such as an LLC or company) should generally submit its Corporate Tax deregistration application within three months of the relevant cessation event.
  • The normal Corporate Tax return deadline is generally nine months from the end of the relevant tax period, unless the FTA specifies otherwise.
  • Company closure may also involve liquidation or final financial reporting, licence cancellation, VAT deregistration and other authority-specific clearances.

What Is a Final Corporate Tax Return?

A final Corporate Tax return is the return covering the company’s last tax period up to and including the date on which its business or business activity ceases. A taxable person (a person or entity subject to Corporate Tax under the UAE Corporate Tax Law) cannot simply cancel its licence and assume that its Corporate Tax obligations have ended.

For a company that is closing, the final return should be considered together with Corporate Tax deregistration in the UAE, because the FTA will not complete deregistration until the required Corporate Tax obligations have been addressed.

A person with a Tax Registration Number must apply for deregistration where its business or business activity ceases, including through dissolution or liquidation. The company cannot be deregistered until it has filed all Corporate Tax returns due, including the return for the tax period up to and including the cessation date, and paid Corporate Tax and administrative penalties due (Article 52, Federal Decree-Law No. 47 of 2022 on the Taxation of Corporations and Businesses, as amended).

When Must the Final Corporate Tax Return Be Filed?

The general Corporate Tax return deadline is no later than nine months from the end of the relevant tax period, unless the FTA specifies another date. For a closing company, the required return must cover the Tax Period up to and including the cessation date. All required returns must be filed before the FTA can complete Corporate Tax deregistration (Articles 52(2) and 53(1), Federal Decree-Law No. 47 of 2022 on the Taxation of Corporations and Businesses, as amended).

The return-filing deadline and the deregistration-application deadline are separate. A company should therefore avoid waiting until the nine-month return deadline if the Corporate Tax deregistration application is already due.

Where the final return is available for filing, Beaufort Associates’ Corporate Tax return filing services can assist with preparing the final tax calculation, reviewing tax adjustments and filing through EmaraTax.

Can You Apply for Corporate Tax Deregistration Before Filing the Final Return?

Yes. A company should not wait for the ordinary Corporate Tax return deadline if doing so could cause it to miss the deregistration deadline. A juridical person must generally submit the Corporate Tax deregistration application through EmaraTax within three months of the date it ceases to exist, ceases the business or business activity, is dissolved, is liquidated or another relevant cessation event occurs (Article 2(2), Federal Tax Authority Decision No. 6 of 2023 on Tax Deregistration Timeline).

The company can submit the deregistration application within the required timeframe even if the final Corporate Tax return has not yet been filed. However, the FTA cannot complete Corporate Tax deregistration until all required Corporate Tax returns have been filed and all Corporate Tax and administrative penalties due have been paid (Article 52(2), Federal Decree-Law No. 47 of 2022 on the Taxation of Corporations and Businesses, as amended).

Late submission of the Corporate Tax deregistration application may result in an administrative penalty of AED 1,000 for the late submission and a further AED 1,000 on the same date monthly, up to a maximum of AED 10,000 (Table of Violations, Cabinet Decision No. 75 of 2023 on Administrative Penalties for Violations Related to the Application of Federal Decree-Law No. 47 of 2022 on the Taxation of Corporations and Businesses, as amended).

What Must Be Completed Before Corporate Tax Deregistration Is Approved?

Corporate Tax deregistration is not complete merely because the application has been submitted. The FTA must be satisfied that the company has completed the relevant filing and payment obligations. The company should therefore reconcile its final accounting records and tax position before expecting the deregistration process to be completed.

  • File all Corporate Tax returns that are required, including the return covering the period up to and including the cessation date.
  • Settle any Corporate Tax payable and administrative penalties that are due.
  • Prepare financial statements up to the relevant closure or licence cancellation date where required for the application.
  • Provide supporting documents for the reason for deregistration, such as a licence cancellation document, merger agreement or other closure evidence, depending on the circumstances.
  • Respond to any FTA request for additional information before the application can be finalised.

The FTA’s current Corporate Tax Deregistration service requirements list financial statements up to and including the licence cancellation date for common closure and liquidation cases. This makes the final accounting cut-off important even where the company has already stopped trading.

Examples of Final Corporate Tax Filing and Deregistration

The following examples show how the final return and deregistration timelines can interact. They are simplified illustrations; the actual cessation date, tax period and filing position should be checked for the specific company.

Example 1: The Company Stops Trading at Year-End

Assume a UAE company has a 1 January to 31 December tax period and permanently stops trading on 31 December 2026. It submits its Corporate Tax deregistration application on 15 January 2027. The application is within the normal three-month deregistration timeframe. The company must still file its final Corporate Tax return for the period ending 31 December 2026 and settle any Corporate Tax or penalties due before the FTA can complete the deregistration. The ordinary return deadline would generally be 30 September 2027, but the company should not delay the deregistration application until that date.

Example 2: The Company Ceases Business Part-Way Through the Year

Assume a company normally has a calendar-year tax period but permanently ceases business on 30 June 2026 as part of a liquidation. The company should generally submit its Corporate Tax deregistration application by 30 September 2026. If 30 June 2026 is the end of the final tax period for the company, the ordinary nine-month filing deadline would generally fall on 31 March 2027. However, the final return must still be completed before Corporate Tax deregistration can be finalised.

Example 3: The Final Return Shows No Corporate Tax Payable

Assume a company closes after making a tax loss or having no taxable income for its final period. The absence of Corporate Tax payable does not automatically remove the return-filing obligation. If a final Corporate Tax return is required, it must still be filed before the FTA completes deregistration. Filing and payment are separate obligations: a company may have a filing obligation even where the final tax payable is nil.

What Else Should Be Done When Closing a UAE Company?

Corporate Tax is only one part of a UAE company closure. The wider process depends on the company’s legal form, licensing authority and tax registrations. Some companies may need a formal liquidation process, a liquidator, final financial or liquidation reporting, licence cancellation, tax deregistration and other government clearances before the legal entity is fully closed.

Where the licensing authority or liquidation process requires an independent report, Beaufort Associates can assist with accounting preparation and coordinate relevant liquidation audit and reporting support where applicable.

A VAT-registered company should separately assess whether it must apply for VAT deregistration. VAT deregistration is a separate FTA process with its own conditions, deadline and final VAT return requirements. Completing Corporate Tax deregistration does not automatically cancel the company’s VAT registration.

Depending on the company’s jurisdiction and circumstances, other practical closure steps may include cancelling the trade licence, visas, work permits, establishment cards, leases, customs registrations, bank accounts and other authority-specific registrations. The exact sequence can differ between mainland and Free Zone entities, so the relevant licensing authority’s closure requirements should be checked early.

Common Mistakes to Avoid During Company Closure

The most common problems arise when tax closure and legal closure are treated as the same process. They are connected, but they are not identical. A company should manage both workstreams together so that licence cancellation or liquidation does not create an avoidable tax delay or missed FTA deadline.

  • Waiting for the final Corporate Tax return deadline before submitting the deregistration application and then missing the three-month deregistration timeline.
  • Assuming that cancelling the trade licence automatically cancels the Corporate Tax registration.
  • Submitting a deregistration application without the financial statements or closure evidence required for the relevant deregistration reason.
  • Ignoring VAT deregistration because the company is also being deregistered for Corporate Tax.
  • Leaving final accounting balances, shareholder balances, tax adjustments or outstanding liabilities unresolved until the end of the liquidation process.

How Can Beaufort Associates Help?

Beaufort Associates can help coordinate the tax and accounting work that sits around a company closure. This can include reviewing the cessation date, preparing the final accounting information, assisting with the final Corporate Tax return, submitting the Corporate Tax deregistration application and responding to FTA follow-up requests.

Where the closure involves wider tax issues, Beaufort Associates can also provide UAE Corporate Tax services covering filing, deregistration and related compliance support.

The exact scope depends on the company’s records, licensing authority, tax registrations and closure route. Starting the review before the licence is fully cancelled can help identify missing returns, financial information or tax obligations while there is still time to address them.

Frequently Asked Questions

Do I Have to File a Final Corporate Tax Return if the Company Has No Corporate Tax to Pay?

Yes, where the company is required to file a Corporate Tax return. The filing obligation is separate from whether Corporate Tax is payable. The final return should cover the tax period up to and including the cessation date.

Can I Apply for Corporate Tax Deregistration Before Filing the Final Return?

Yes. The deregistration application should be submitted within the applicable deregistration timeframe. The FTA will not complete Corporate Tax deregistration until all required Corporate Tax returns have been filed and all Corporate Tax and administrative penalties due have been paid.

How Long Do I Have to Apply for Corporate Tax Deregistration After Closing the Company?

A juridical person must generally apply within three months of the relevant cessation event, such as cessation of business, dissolution or liquidation (Article 2(2), Federal Tax Authority Decision No. 6 of 2023 on Tax Deregistration Timeline).

Does Cancelling the UAE Trade Licence Automatically Cancel Corporate Tax Registration?

No. Corporate Tax deregistration is a separate process with the FTA through EmaraTax. Licence cancellation can support the application, but it does not by itself cancel the Corporate Tax registration.

Do I Also Need to Deregister for VAT When Closing a UAE Company?

Where the company is VAT-registered, its VAT position should be reviewed separately. If the VAT deregistration conditions are met, a separate VAT deregistration application and final VAT compliance steps may be required.
