How Do I Register a Subsidiary in the UAE for Tax Purposes?

A practical guide to registering a UAE subsidiary for Corporate Tax, checking VAT registration and understanding tax group options and deadlines.
register a subsidiary in the UAE for tax purposes

A newly incorporated UAE subsidiary is generally a separate legal entity from its parent company and must assess its own UAE tax registration obligations. For Corporate Tax, a UAE-incorporated subsidiary is generally a resident juridical person (a legal entity treated as resident for UAE Corporate Tax purposes) and must register with the Federal Tax Authority (FTA) through EmaraTax within the applicable deadline. VAT is assessed separately: mandatory registration depends on taxable supplies and imports, while voluntary registration can also take taxable expenses into account.

Key Takeaways

  • A UAE subsidiary is generally a separate juridical person and does not use the parent company’s Corporate Tax Registration Number simply because it is wholly owned by the parent.
  • A UAE subsidiary incorporated on or after 1 March 2024 generally has three months from its incorporation, establishment or recognition date to submit its Corporate Tax registration application.
  • Corporate Tax registration is completed through EmaraTax and the FTA currently lists the registration service as free of charge.
  • VAT registration is separate from Corporate Tax registration. Mandatory VAT registration generally applies when taxable supplies and imports exceed AED 375,000 under the applicable tests.
  • A qualifying parent and subsidiary may be able to apply for a Corporate Tax Group (eligible UAE companies treated as a single Taxable Person for Corporate Tax), but group treatment is not automatic and specific ownership and other conditions must be met.

Is a UAE Subsidiary a Separate Taxable Person?

Yes. A UAE subsidiary that is incorporated as a separate company is generally a separate resident person for Corporate Tax purposes. A Taxable Person (a person or entity that is subject to Corporate Tax under the UAE Corporate Tax Law) must register with the FTA unless a specific exception applies (Articles 11(3)(a) and 51(1), Federal Decree-Law No. 47 of 2022 on the Taxation of Corporations and Businesses, as amended).

A juridical person means a legal entity that has a separate legal personality from its owners, such as an LLC or another incorporated company. This is important because a subsidiary is not treated the same way as a UAE branch of a domestic company. A domestic branch is treated as one and the same Taxable Person as its head office and does not register separately for Corporate Tax (Article 11(5), Federal Decree-Law No. 47 of 2022).

If a group has incorporated a new subsidiary, it should assess its registration position immediately rather than assuming that the parent company’s registration covers it. Beaufort Associates’ Corporate Tax registration services can assist with the registration review and EmaraTax application.

How Do You Register a Subsidiary for Corporate Tax?

A UAE subsidiary registers for Corporate Tax through its own taxable person profile on the FTA’s EmaraTax platform. The application identifies the subsidiary, its legal form, licence, ownership, authorised signatory and other registration details, after which the FTA reviews the application and issues a Corporate Tax Registration Number if approved.

  1. Create or access the relevant EmaraTax account.
  2. Create a new taxable person profile for the subsidiary.
  3. Open the subsidiary’s profile and select Corporate Tax registration.
  4. Enter the legal entity, licence, address and business information.
  5. Enter the ownership and authorised signatory details required by the application.
  6. Upload the supporting documents.
  7. Review the information for consistency and submit the application to the FTA.
  8. Respond to any FTA request for clarification or additional documents.

The FTA’s current service page estimates around 25 minutes to submit a complete application and around 20 business days for the FTA to process a completed application. Actual timing may be longer if additional information is requested.

What Documents Are Needed for Corporate Tax Registration?

The subsidiary should have its incorporation, licensing, ownership and signatory documents ready before the Corporate Tax application is started. The exact document set can vary by legal form and circumstances, but the FTA currently lists the following core documents for a standard juridical person application.

  • Certificate of incorporation, memorandum of association or partnership agreement, where available.
  • Commercial registration certificate or another official document issued by the licensing authority.
  • Valid trade licence, including branch licences where applicable.
  • Emirates ID and passport of any owner holding more than 25% ownership, where applicable.
  • Emirates ID and passport of the authorised signatory.
  • Evidence that the signatory is authorised to act for the subsidiary.

What Is the Corporate Tax Registration Deadline for a New Subsidiary?

A UAE subsidiary incorporated, established or otherwise recognised on or after 1 March 2024 generally must submit its Corporate Tax registration application within three months from the date of incorporation, establishment or recognition (Article 3(3), Federal Tax Authority Decision No. 3 of 2024).

For example, if a UAE subsidiary is incorporated on 15 October 2026, the Corporate Tax registration application should generally be submitted within three months of that date. The business should not wait until it earns revenue or prepares its first annual accounts before checking the registration deadline.

Late Corporate Tax registration can result in an AED 10,000 administrative penalty (Table of Violations, Item 14, Cabinet Decision No. 75 of 2023, as amended). The FTA currently operates a late-registration penalty waiver initiative for qualifying cases where the first Corporate Tax return, or relevant annual declaration for an exempt person, is submitted within seven months from the end of the first tax period or financial year, as applicable. That initiative should not be treated as an extension of the original registration deadline.

Does the Subsidiary Need VAT Registration Too?

Corporate Tax registration does not automatically register the subsidiary for VAT. VAT is a separate tax regime, and a UAE-resident subsidiary must assess its own taxable supplies and imports against the VAT registration thresholds. Mandatory registration generally applies when taxable supplies and imports exceed AED 375,000 over the previous 12 months or are expected to exceed that amount in the next 30 days (Articles 13 and 19, Federal Decree-Law No. 8 of 2017 on Value Added Tax, as amended).

Voluntary VAT registration may generally be available where taxable supplies, imports or taxable expenses exceed AED 187,500 over the previous 12 months or are expected to exceed that amount in the next 30 days, subject to the applicable conditions (Articles 17 and 19, Federal Decree-Law No. 8 of 2017 on Value Added Tax, as amended).

For example, a newly incorporated subsidiary may need Corporate Tax registration within three months even if it has made no sales yet. VAT registration may arise later when the VAT threshold is met, or earlier if voluntary registration conditions are satisfied. Beaufort Associates’ VAT registration support can help assess the VAT position separately.

Can the Subsidiary Use the Parent Company’s Tax Registration?

No. A separate UAE subsidiary does not normally use the parent company’s Corporate Tax Registration Number simply because the parent owns all of its shares. The subsidiary has its own legal identity and must address its own Corporate Tax registration position, including whether it will register on a standalone basis or qualify to join an existing Corporate Tax Group.

A qualifying UAE parent and subsidiary may apply to form or join a Corporate Tax Group. Broadly, the parent must directly or indirectly own at least 95% of the subsidiary’s share capital, voting rights, profits and net assets, and the other statutory conditions must also be met (Article 40(1), Federal Decree-Law No. 47 of 2022). Neither an Exempt Person nor a Qualifying Free Zone Person can join such a group under the conditions in that Article.

For Tax Periods commencing on or after 1 January 2025, a newly established subsidiary may, subject to the applicable conditions, join an existing Corporate Tax Group from its date of incorporation. The application to join must be submitted before the end of the Tax Period in which joining is requested (Article 5(1) and (5), Ministerial Decision No. 301 of 2024).

Corporate Tax Group treatment is therefore an application-based option, not an automatic consequence of ownership. The group should assess the conditions before assuming that the subsidiary can be reported under the parent company.

What Happens After the Subsidiary Is Registered?

Corporate Tax registration is only the start of the subsidiary’s tax compliance. If the subsidiary remains a standalone Taxable Person, it must maintain appropriate records, determine its tax period (the period for which Corporate Tax is calculated and reported), assess its taxable income, file the required Corporate Tax return and pay any Corporate Tax due by the applicable deadline. If the subsidiary becomes a member of a Corporate Tax Group, the group is treated as a single Taxable Person represented by the Parent Company, and the Parent Company complies with the relevant return and payment obligations on behalf of the group (Article 40(4) and (5), Federal Decree-Law No. 47 of 2022).

Where the subsidiary has related-party transactions with its parent or other group companies, those transactions should be reviewed under the UAE transfer pricing rules and, where applicable, the specific rules for members of a Corporate Tax Group. When the first filing period approaches, Beaufort Associates’ Corporate Tax return filing services can support the preparation, review and submission of the return.

Common Registration Mistakes to Avoid

The most common subsidiary registration mistakes arise from treating the new company as if it is automatically covered by the parent. A simple registration checklist can reduce avoidable delays and late-registration risk.

  • Using the parent company’s Corporate Tax profile for a separately incorporated subsidiary without first assessing the subsidiary’s own registration or Corporate Tax Group position.
  • Waiting for the subsidiary to start generating revenue before considering the Corporate Tax registration deadline.
  • Using inconsistent legal names, licence numbers, ownership percentages or signatory information across the application and supporting documents.
  • Assuming that Corporate Tax registration automatically covers VAT registration.
  • Assuming that 100% ownership automatically creates a Corporate Tax Group without checking the statutory conditions and submitting the required application.
  • Failing to assess related-party transactions with the parent and other group entities under the applicable transfer pricing and Corporate Tax Group rules.

How Can Beaufort Associates Help?

Beaufort Associates can help a UAE or foreign-owned group assess the tax registrations required for a new subsidiary, prepare the Corporate Tax registration application, review supporting documents and assist with routine FTA follow-up. Our UAE Corporate Tax services also cover return filing, Corporate Tax consultancy and other ongoing compliance requirements.

Where the new subsidiary may be eligible to join a Corporate Tax Group, operate from a Free Zone, enter into material related-party transactions or require VAT registration, Beaufort Associates can review those issues as separate workstreams so the tax setup reflects the subsidiary’s actual activities and group structure.

Frequently Asked Questions

Does a Foreign-Owned UAE Subsidiary Need Corporate Tax Registration?

Yes, generally. A company incorporated or otherwise established under UAE law is a resident juridical person for Corporate Tax purposes regardless of whether its shareholder is based in the UAE or overseas, unless a specific exemption or registration exception applies (Article 11(3)(a), Federal Decree-Law No. 47 of 2022 on the Taxation of Corporations and Businesses, as amended).

Can a Subsidiary Use Its Parent Company’s Corporate Tax Registration Number?

No, not merely because the parent owns the subsidiary. A separately incorporated subsidiary is generally a separate Taxable Person. A qualifying parent and subsidiary may apply for Corporate Tax Group treatment if the statutory conditions are met, but that treatment is not automatic.

Do Free Zone Subsidiaries Need Corporate Tax Registration?

Yes, generally. A Free Zone company is within the UAE Corporate Tax framework and normally must register for Corporate Tax. A company that qualifies as a Qualifying Free Zone Person (a Free Zone entity that meets the Corporate Tax conditions for the special Free Zone regime) may receive the special Free Zone Corporate Tax treatment on qualifying income, but that status does not normally remove the registration obligation.

Does a New Subsidiary Need to Register for VAT Immediately?

Not necessarily. VAT registration depends on the subsidiary’s own taxable supplies, imports and, for voluntary registration, taxable expenses. A newly incorporated subsidiary can therefore have an immediate Corporate Tax registration obligation while not yet being required to register for VAT.

What Happens if a Subsidiary Misses the Corporate Tax Registration Deadline?

Late Corporate Tax registration can result in an AED 10,000 administrative penalty. Businesses that have missed the deadline should register promptly and separately check whether the current FTA late-registration penalty waiver initiative may apply to their circumstances.
