Should Related UAE Companies Register for VAT Separately or Form a VAT Group?

Should related UAE companies form a VAT group or retain separate VAT registrations? Compare eligibility, intercompany transactions, input VAT recovery, joint liability and compliance responsibilities.
vat registration for company group

Related UAE companies do not automatically need to form a VAT group. Eligible companies may retain separate VAT registrations or apply to be treated as one taxable person under a VAT group. The better choice depends on legal eligibility, intercompany activity, input VAT recovery, accounting systems and the risks of shared VAT liability. A group may simplify administration, but it is not necessarily preferable for every multi-entity business.

Основные выводы

  • Related companies may generally retain separate VAT registrations where appropriate; VAT grouping requires an application and FTA approval.
  • Eligible VAT groups use one Tax Registration Number (TRN) and submit a single VAT return through a representative member.
  • Transactions between members of an approved VAT group are generally disregarded for VAT purposes, but the underlying accounting records remain important.
  • Each member must satisfy legal-person, UAE establishment, relationship and relevant activity conditions; the FTA also assesses the combined registration position.
  • All group members can face joint and several liability for the group’s VAT obligations arising during their membership.
  • Different input VAT recovery profiles, weak records or planned changes in ownership can make separate registrations more suitable.

Two or more eligible legal persons carrying on business may apply to form a UAE VAT group if they have the required UAE establishment, are related parties and satisfy the applicable control conditions. VAT grouping does not arise automatically from common ownership: the Federal Tax Authority (FTA) must accept the application (Article 14, Federal Decree-Law No. 8 of 2017 on Value Added Tax, as amended).

  • Legal status: Each proposed member must be a legal person, such as a company, rather than an individual acting in a personal capacity.
  • UAE presence: Each member must have a place of establishment or fixed establishment in the UAE.
  • Relationship and control: The entities must be sufficiently related and meet the relevant control conditions. Common shareholders alone do not conclusively establish eligibility.
  • Business activities: Each proposed member must make taxable supplies or import concerned goods or concerned services, subject to the applicable conditions.
  • Group registration test: The FTA’s current service guidance requires the combined taxable supplies, imports of concerned goods and imports of concerned services of the proposed group to exceed the mandatory registration threshold of AED 375,000.

The ownership diagram, actual management arrangements and entity-level activities should therefore be assessed together. A holding structure that looks like one commercial group may not necessarily satisfy every VAT-group condition.

What Is the Difference Between Separate VAT Registration and VAT Group Registration?

Under separate VAT registration, each registered legal entity generally has its own TRN, VAT return and reporting obligations. An approved VAT group is treated as a single taxable person for VAT purposes: it uses one group TRN, submits a combined return and appoints a representative member. The legal entities themselves remain separate for other purposes.

  • Tax identification: Separate registrations use individual TRNs; the VAT group operates under one group TRN.
  • Returns: Separately registered entities file their own returns; the group files one return covering its members.
  • Intercompany supplies: Transactions between separately registered entities generally require their own VAT analysis; supplies within an approved group are generally disregarded for VAT purposes.
  • Administration: Each separate registrant manages its obligations; the group representative coordinates a single filing using records from all members.
  • Exposure: Separate registrations usually keep liabilities at entity level, whereas VAT-group members are jointly and severally liable for relevant group obligations.

The simplified return process does not eliminate the need for transaction-level records, intercompany reconciliations or member-by-member reporting to support the consolidated amounts.

VAT group registration may be worth considering where eligible related companies transact frequently with one another and would benefit from consolidated VAT administration. It can reduce VAT processing on qualifying internal supplies, but the commercial advantage depends on the volume of intercompany transactions, the group’s recovery position and its ability to maintain reliable shared reporting.

Situations that may justify an assessment include:

  • A management company regularly recharges shared services to operating subsidiaries.
  • Group entities frequently transfer inventory or make internal management and administrative charges.
  • Several companies maintain separate VAT returns despite using one finance function and accounting platform.
  • Related businesses incur recurring cash-flow costs from VAT on internal transactions that may not be fully recoverable.

For example, a trading company and its related shared-services company may wish to evaluate grouping if substantial internal management charges recur each month. The decision should still account for the input VAT profile and compliance record of both businesses.

When Might Separate VAT Registrations Be Better?

Separate VAT registrations may be preferable where group members have limited intercompany activity, materially different VAT recovery positions or independent governance and reporting systems. Separate registration can also be more practical when a subsidiary may be sold, reorganised or removed from the group in the near future. Eligibility alone does not establish that grouping is commercially beneficial.

Consider retaining separate registrations where:

  • Intercompany transactions are infrequent and combining returns would deliver little administrative benefit.
  • One entity makes significant exempt supplies while another is predominantly engaged in taxable activities.
  • One member has unresolved VAT errors, weak accounting controls or a substantially higher audit-risk profile.
  • A planned acquisition, disposal, merger or liquidation would require early changes to group membership.
  • The entities use incompatible accounting systems or cannot produce reliable consolidated VAT schedules.

The FTA also has statutory powers to assess relationships and, in specified circumstances, register related persons as a VAT group. The decision to remain separate is therefore subject to the applicable rules and not an unrestricted election (Article 14, Federal Decree-Law No. 8 of 2017 on Value Added Tax, as amended).

How Do Intercompany Transactions Change After UAE VAT Group Registration?

Supplies between members of an approved UAE VAT group are generally disregarded for VAT purposes because the members are treated as one taxable person. This can change the treatment of management fees, shared-service recharges and inventory movements between members. Transactions with customers or suppliers outside the group remain subject to the applicable VAT rules.

The accounting system should continue recording intra-group activity to support each entity’s financial statements, cost allocations, management accounts and reconciliations. Removing VAT from qualifying internal transactions does not mean that the underlying transaction or supporting documentation can be ignored.

Groups should also identify invoices and agreements spanning the group’s effective registration date, since treatment may differ before and after group membership begins. Other tax and financial reporting requirements need separate consideration.

Who Is Responsible for VAT Compliance in a UAE VAT Group?

An approved UAE VAT group appoints a representative member to manage its VAT relationship with the FTA. The representative submits the group return and coordinates registration information, VAT calculations and FTA correspondence. Nevertheless, every member must provide complete and accurate records, and responsibility for the group’s VAT exposure does not rest solely with the representative.

A practical group compliance framework should establish:

  • A common monthly close and VAT reporting timetable for all member entities.
  • Consistent tax codes and treatment of internal versus external supplies.
  • Member-level reconciliations of sales, purchases, imports and input VAT.
  • Documented review and approval of the consolidated VAT return.
  • Clear responsibility for FTA notices, queries, membership changes and retention of supporting records.

A consolidated return is only as reliable as the information supplied by its least-prepared member. The representative should therefore be able to obtain and challenge member-level VAT schedules before each filing.

What Risks Should Businesses Consider Before Forming a UAE VAT Group?

The main VAT-group risks are shared liability, changes in input VAT recovery, future membership changes and differences in the members’ accounting controls. These risks can outweigh the convenience of a single TRN and return. A pre-registration review should assess all proposed members, not just the company intended to act as representative.

Group-Wide Liability for UAE VAT Obligations

VAT-group members are jointly and severally liable for group VAT debts and obligations relating to the periods during which they belonged to the group. A company may therefore remain exposed to a liability arising during its membership even after leaving. This makes the tax history and control environment of each proposed member relevant to the decision.

Input VAT Recovery Where UAE Group Members Have Different Activities

VAT grouping can affect the assessment of recoverable input VAT where members carry on different taxable and exempt activities. For example, combining a mainly exempt business with a fully taxable business calls for careful analysis of how shared expenses and input tax apportionment should be handled. Grouping does not automatically improve recovery.

Changes in Ownership or UAE VAT Group Membership

A disposal, merger, closure or change in the relationship between members may require an amendment to the VAT group. The FTA provides a representative-member process to add or remove members, subject to evidence and approval. Groups expecting material structural change should consider the administrative consequences before applying.

Different VAT Compliance Standards Across Group Companies

Weak records or incorrect VAT treatment in one company can affect the accuracy of the group’s return and expose other members to related obligations. Businesses should review outstanding VAT issues, invoicing practices, import records and historical reconciliations before consolidating reporting.

Can Mainland and Free Zone Companies Join the Same UAE VAT Group?

Mainland and Free Zone companies may be considered for the same UAE VAT group where each entity satisfies the relevant legal-person, UAE establishment, relationship, control and activity conditions. Free Zone status does not automatically prevent membership. However, the VAT treatment of particular goods and supplies involving a Designated Zone must be evaluated separately.

A Designated Zone is a specified area that can receive particular VAT treatment for certain goods transactions when legal conditions are satisfied. It is not equivalent to a general VAT exemption for the company. Proposed groups containing Free Zone businesses should review supply chains, movement-of-goods documentation, input VAT recovery and internal reporting before assuming that grouping simplifies every transaction.

Does a UAE Subsidiary Need Separate VAT Registration if Its Parent Is Registered?

A UAE subsidiary is generally a separate legal person and must assess its own VAT registration obligations even if its parent company or another group company is registered. It may obtain a separate VAT registration or join an eligible UAE VAT group if the conditions are satisfied and the FTA approves the application. An existing group TRN does not automatically cover a newly incorporated subsidiary.

A UAE branch is different because it is generally an establishment of the same legal person rather than a separate company. The FTA states that branches cannot be added as separate members of a VAT group; their VAT treatment must be considered within the registration of the legal person to which they belong.

Is a UAE VAT Group the Same as a Corporate Tax Group?

No. UAE VAT grouping and Corporate Tax grouping are distinct legal regimes with different eligibility tests, tax consequences and reporting requirements. A group approved for VAT is not automatically recognised as a Corporate Tax group, and Corporate Tax group membership does not itself establish eligibility for VAT grouping.

Businesses should assess the two arrangements independently. VAT grouping concerns treatment as one taxable person for VAT, while Corporate Tax grouping follows the separate ownership and eligibility provisions of the Corporate Tax regime. This article addresses VAT grouping only.

What Documents and Steps Are Needed for UAE VAT Group Registration?

VAT group registration is submitted through the representative member’s EmaraTax account, supported by entity-level licensing, ownership, identification and turnover records. The FTA currently estimates 20 business days to process a completed application, although further queries may affect the actual timing. Businesses should confirm eligibility and consolidate their records before submission.

The FTA’s published documentation requirements generally include:

  • Trade or business licences for the proposed members.
  • Passport and Emirates ID details of relevant authorised signatories.
  • Memoranda of Association, Powers of Attorney or other signatory authority evidence.
  • Signed turnover declarations and financial breakdowns for the relevant members.
  • A signed group structure identifying shareholdings and authorised signatories.
  • Signed no-objection letters from each entity authorising the representative member.

The broad application sequence is to check each member’s eligibility, choose the representative, compile the group records, submit the application through EmaraTax and respond to any FTA information requests. Once approved, the members should implement the common TRN, reporting controls and consolidated VAT-return process.

What Should a Multi-Entity Business Review Before Choosing VAT Group Registration?

A multi-entity business should compare the administrative benefit of one VAT registration with the tax, liability and operational consequences for every proposed member. The assessment should start with legal eligibility and then test the group’s actual transactions, input VAT recovery, reporting capabilities and anticipated structural changes. It should produce a documented decision, not simply a registration application.

Before applying, finance teams should answer these questions:

  • Do all proposed members qualify as legal persons with the required UAE establishment and relationships?
  • Does the group meet the FTA’s current registration test?
  • What volume and value of intercompany charges occur each month?
  • Would grouping change the recovery of input VAT on shared or exempt-related costs?
  • Can every company produce accurate monthly VAT and reconciliation reports?
  • Does any proposed member have significant unresolved VAT exposure?
  • Are any entities likely to be sold, liquidated or reorganised?
  • Which entity has the systems and staff to act as representative member?
  • Will the expected benefits justify the ongoing group administration and liability?

Where answers are uncertain, a structured VAT-group feasibility assessment can help the business compare both options before it commits to an application.

Часто задаваемые вопросы

Can Two Related UAE Companies Keep Separate VAT Registrations?

Yes. Related legal entities may generally retain separate VAT registrations where they meet their individual obligations and are not required by an applicable FTA decision to be grouped. Common ownership alone does not automatically create a VAT group.

Does Every Company in a UAE VAT Group Need to Exceed AED 375,000 Individually?

No. The FTA evaluates the proposed group’s combined taxable supplies, imports of concerned goods and imports of concerned services against the mandatory registration threshold. Individual members do not all need to exceed AED 375,000 independently, but each must satisfy the other membership conditions.

Can a Free Zone Company Join a UAE VAT Group?

Yes, potentially. A Free Zone company may join if it satisfies the relevant legal-person, establishment, relationship and other VAT-group requirements. Additional transaction-level analysis may be needed where Designated Zone rules apply.

Does a UAE Subsidiary Need Its Own VAT TRN?

A subsidiary generally needs to assess its VAT position separately because it is a distinct legal person. Where eligible and approved for membership of a VAT group, it operates under the group TRN instead of maintaining a separate VAT registration.

Who Submits the VAT Return for a UAE VAT Group?

The representative member submits the consolidated VAT return for the group. The return must reflect information from all members, and each member remains responsible for providing accurate supporting records.

Are Supplies Between Members of an Approved UAE VAT Group Subject to VAT?

Supplies between members of an approved VAT group are generally disregarded for VAT purposes. Transactions with persons outside the group remain subject to the applicable VAT rules, and the businesses must still maintain suitable accounting records.

Can a Company Leave a UAE VAT Group Later?

Yes, subject to the applicable requirements and FTA approval of the group amendment. The representative member applies to remove the entity and may need to provide evidence explaining the change. Leaving does not automatically eliminate liability arising during membership.

Is a UAE VAT Group the Same as a Corporate Tax Group?

No. VAT groups and Corporate Tax groups are governed by different legal conditions and operate for different taxes. Registration under one regime does not automatically establish group status under the other.
